Annual General Meeting Notice

The Annual General Meeting of the Honest Toun’s Association will be held on:

Thursday 23rd November 2017
Esk Rooms 1 & 2
Brunton Hall
7.30pm

There are proposed amendments to the Constitution, these are as follows:

Section 6 – Executive Committee

6.2
The Executive Committee will consist of up to fifteen members. This will be made up of a President, who will preside at all meetings, a Vice President who will act for the President as required, a Treasurer who will keep financial records as laid down by the Trustees of the Association, a Secretary who will keep minutes of all meetings and conduct the business of the Association, except finance, with such secretarial assistance as the Executive Committee may decide and up to eleven committee members. The Executive Committee may co-opt additional members who will serve for the current year only. The preceding year’s Honest Lad and Honest Lass will be ex-officio members of the Executive, only to attend meetings at the Executive’s request or by arrangement.

Office bearers will be voted for and appointed by the members at the Annual General Meeting.

ADDITION OF:

The Executive Committee shall have the power to appoint an Interim Officer Bearer in the event of a position being unfilled at the Annual General Meeting or becoming vacant during the year.

Section 7 – Qualifications of Candidates for Position of Honest Lad and Honest Lass

7.2 Candidates must certify that they have lived within Musselburgh Council Wards, Whitecraig and Wallyford for a total of eight years.

Application must include a personal statement from the candidate, endorsed by their Proposer and Seconder.

Section 8 – Election of the Honest Lad and Honest Lass

8.2 Members of the Executive Committee and any of their immediate family members, specifically spouse/partner, parent, child or sibling, are debarred from nominating or seconding any candidate.

Delete existing and replace with:
Members of the Executive Committee, Board of Trustees and any of their immediate family members are debarred from nominating or seconding a candidate.

OR

Members of the Executive Committee and the Board will be debarred from nominating or seconding any candidate. Any member of the Executive Committee having a close relative standing for election shall stand down for a period of 30 days prior to the election.


9. Meetings

9.1 The Annual General Meeting of the Association will be held on a date in November to be agreed by the Executive Committee. The meeting will be chaired by the President of the Association. Notice of the meeting will be given in the local press and on the Association’s website at least twenty-eight days beforehand.
